What it means

Pure ASCII, and old — this construction predates Unicode emoticons entirely and circulated on bulletin boards and mailing lists where nothing outside the 128-character ASCII set could be relied upon. Its survival into the emoji era is a function of that constraint: there is no environment in which it fails to render.
How to type it without breaking it

When to use it
